Conservatives of Little Elm

Article 1 – The name of the organization shall be Conservatives of Little Elm, a.k.a. CoLE. The organization’s address will be 3508 Bristle Cone Drive, Little Elm, TX 75068.
Article 2 – Mission Statement and Objectives
Section A – The CoLE mission is to provide an environment for conservative issues and ideas to be promoted effectively to elected office holders and citizens. It seeks to impact government on all levels through conservative activism.

Section A – Officers
The officers of this organization shall be President, Vice-President, Treasurer and Recording Secretary. All officers and appointed Committee Chairs shall be registered Voters.
Section B – Duties of Officers
President – The President shall preside at all meetings of the Organization and of the Executive Committee, shall appoint chairs of all standing and special committees with the majority approval of the Executive Committee, shall serve as an ex-officio member of all committees except the Nominating Committee, and shall have general supervision of the work of the Organization.
Vice-President – The Vice-President shall perform the duties of the President whenever the President is absent or otherwise unable to serve and such other duties the President may designate. They shall work together to attain the goals and objectives of the Organization. The Vice-President shall serve as Chair of the Membership Committee and keep an up-to-date roster of the membership of the Organization.
Treasurer – The Treasurer shall be responsible to file the proper reports with the appropriate authorities and to ensure proper procedures are followed regarding disbursement of funds. They shall be responsible for keeping financial records of the organization. Disbursement of funds will require the signatures of two officers of the Organization.
Recording Secretary – The Recording Secretary shall keep and provide membership a factual and unbiased written record of the proceedings of all CoLE Meetings. They shall also keep factual and unbiased written record of the proceedings of all Executive Committee Meetings.
Section C – Term of Office
The term of office for officers and committee chairs shall be from January 1st through December 31st, except the first year of the Organization’s existence. All officers shall be elected at the annual meeting and shall serve 2 years term and no officer may serve in the same position for more than 2 consecutive terms. The annual meeting shall be held in November of every year. Officers are expected to attend all called meetings and any Executive Committee meetings. More than 2 unexcused absences may lead to removal from office by a majority vote of the Executive Committee.
Section D – Executive Committee
The Executive Committee shall consist of the elected officers and the immediate Past President, who shall serve as an advisor.
Section E – Nominations and Elections of Officers
Except for the first year the CoLE is in operation, a Nominating Committee of not less than 3 shall be appointed, with the approval of the Executive Committee, at least 3 months prior to the annual meeting. Nominations will be submitted 1 month prior to the annual meeting. Nominations will be accepted from the floor. If there is more than one nominee for an office, the vote will take place by paper ballot.
Article 5 – Membership
To be considered a member of CoLE, a person must:
Note: Only members in good standing will be able to vote. Good Standing means dues are up-to-date. Executive Committee shall determine dues amount each year. Dues will be pro-rated for memberships starting at times other than the annual meeting.
Article 6 – Meetings
The CoLE will meet the 4th Thursday of each month. Notice for these meetings shall be sent electronically about 30 days prior to the meeting. The Executive Committee may call additional meetings with a 72-hour notice. Notice will be sent electronically for these meetings. Any business must be conducted with a quorum present. A quorum will consist of 15 members. If this date conflicts with a holiday, the date of the meeting will be changed and notification will be sent out electronically about 30 days prior.
Article 7 – Parliamentary Authority
Robert’s Rules of Order shall govern all proceedings, except where inconsistent with the bylaws of the CoLE.
Article 8 – Dissolution of the club
In the case that CoLE dissolves and no longer functions, after all bills are paid, remaining funds will be donated to a charity or charities agreed upon by the membership.
Article 9 – Amendments
Amendments to the CoLE By Laws require a 2/3rds vote of members in good standing provided there is a quorum and will be considered at the annual meeting in November or at such a time a revision is needed.
